(一)Implementation Status of Insider Trading Prohibition
The company has established a "Code of Ethics" that prohibits directors and other insiders from using any non-public information obtained through their positions that may significantly affect the prices of futures and securities for insider trading prior to public disclosure. Such information must be strictly kept confidential in accordance with the provisions of the Futures Trading Act and the Securities Exchange Act. Insider trading is both illegal and unethical, and the company will take firm action against any violations. Relevant regulations have been disclosed on the company’s website.
Article 10, Paragraph 2 of the "Corporate Governance Best Practice Principles": To protect shareholders' rights and ensure equal treatment of all shareholders, listed companies should establish internal regulations prohibiting insiders from trading securities based on non-public information obtained from the market. These regulations should include control measures for stock trading by company insiders from the date they become aware of the company's financial reports or related performance information. This includes (but is not limited to) prohibiting directors from trading the company's stock during the closed periods, which are 30 days prior to the announcement of the annual financial report and 15 days prior to the announcement of each quarterly financial report.
Operation Status
1. On November 9, 2023, our company conducted an educational training session for 12 managers and directors. The course covered topics such as confidential handling of material information, the causes and identification of insider trading, and examples of such transactions. It also explained the scope of internal material information, confidentiality procedures, disclosure processes, and violation handling. The training aimed to continuously reinforce the importance of ethical conduct (including insider trading) among all insiders.
2. Prior to each meeting, all directors are notified and reminded that they are prohibited from trading company stock during the closed periods—30 days prior to the announcement of the annual financial report and 15 days prior to the announcement of each quarterly financial report.
(二)Promotion of Integrity Culture
Regulations: "Corporate Governance Best Practice Principles," "Code of Ethical Conduct," "Guidelines for Ethical Business Conduct," and "Procedures and Behavioral Guidelines for Ethical Business Operations."
Executing Unit: The General Manager has designated the Management Department and the Human Resources Section to form a dedicated unit responsible for revising related operational procedures and behavioral guidelines, as well as promoting relevant activities. This unit reports its execution status to the Board of Directors at the end of each year.
From October 4, 2023, to November 30, 2023, the company held internal training on the Guidelines for Ethical Business Conduct, with a total of 296 participants and 148 hours of training.
(三)Human Rights Policy
Bioteque firmly believes that respecting human rights and creating a dignified work environment are of utmost importance. We respect and support the fundamental human rights outlined in international conventions, including the Universal Declaration of Human Rights, the United Nations Global Compact, and the International Labour Organization's Declaration on Fundamental Principles and Rights at Work. We strictly comply with the Labor Standards Act, the Act of Gender Equality in Employment, and other relevant laws and regulations. Our policies and protective measures include:
- Prohibition of Child Labor

- Compliance with the Labor Standards Act, the Act of Gender Equality in Employment, and the Occupational Safety and Health Act: The working conditions of every employee meet legal requirements, and all employees are entitled to statutory benefits and protections.
- Provision of a Fair Working Environment: No discrimination or unfair treatment based on gender, race, socioeconomic status, nationality, age, marital status, family situation, language, religion, political affiliation, appearance, height, or physical or mental disability.
- Provision of a Safe Working Environment: The company values the safety and health of employees and continuously improves workplace conditions to reduce the risk of occupational hazards and protect employees' physical and mental well-being.
- Establishment of the "Sexual Harassment Prevention, Complaint, and Disciplinary Measures" and the "Statement on the Prohibition of Sexual Harassment in the Workplace": These policies are promoted and preventive measures are enforced.
- Respect for Employees' Freedom of Assembly, Association, and Collective Bargaining Rights
- Establishment of a Grievance System and Accessible Complaint Channels
- Implementation of Information Security: Proper protection of employee and applicant personal data to prevent leakage.
- In 2023, no child labor was employed.
- One session was held to promote sexual harassment and sexual assault prevention, and notices were posted in multiple languages on bulletin boards.
- The promotion of the Guidelines for Ethical Business Conduct was conducted, with a total of 296 participants and 148 hours of training.
- A labor-management meeting system is in place, with 7 representatives each from labor and management. Four labor-management meetings were held in 2023.
- A Workplace Safety Committee, Self-Defense Fire Brigade, and Hazardous Chemical Response Team have been established. In coordination with World Day for Safety and Health at Work on April 28, a Workplace Safety and Health Week was designated, encouraging all departments to actively create a friendly working environment and collaboratively improve overall occupational safety and health standards.
