Corporate Governance Supervisor


In the 12th meeting of the 12th Board of Directors held on May 9, 112th Year, it was resolved to establish the position of Governance Supervisor. The current Governance Supervisor, approved by the Board of Directors, is Manager Pei-Chih Chung.

(一)Roles and Responsibilities of the Governance Supervisor:
1. Organize matters related to meetings of the Board of Directors and shareholders' meetings.
2. Prepare minutes of meetings of the Board of Directors and shareholders' meetings.
3. Assist directors in appointment and continuing education.
4. Provide information required for the execution of the directors' duties.
5. Assist directors in compliance with laws and regulations.
6. Report to the Board of Directors on the review results of the qualification of independent directors during nomination, appointment, and tenure.
7. Handle matters related to changes in directors.
8. Other matters stipulated in the company's articles of association or contracts.

(二) Business Execution of the Governance Supervisor in the 113th Year:
1. Organize matters related to meetings such as the Board of Directors and shareholders' meetings.
2. Prepare minutes of the Board of Directors' meetings and shareholders' meetings within the statutory deadlines.
3. Assist in arranging training courses for directors.
4. Purchase liability insurance for directors.
5. Assist the Board of Directors and various functional committees in conducting annual self-assessments.
6. Assist directors in compliance with laws and regulations, provide timely responses to requests from directors, and provide support for the performance of their duties.
7. Bridge communication between directors and the company.
8. Continuously monitor announcements from regulatory authorities such as the Financial Supervisory Commission and the Taiwan Stock Exchange Corporation. In case of amendments to laws and regulations related to corporate governance such as the "Corporate Governance Best Practice Principles for Listed and OTC Companies", cooperate with actual business operations, submit amendment proposals to the Board of Directors and other relevant meetings for discussion in accordance with regulations, and issue letters to relevant units for implementation upon approval of resolutions.
